1. Deposit

1.1 Initial Deposit

  1. The Client agrees to pay an initial non-refundable deposit of 50% of the accepted quoted total before any services are rendered.
  2. The remaining balance must be settled upon completion of the services rendered.
  3. Failure to settle the balance within 60 business days will result in:
    1. The Client forfeits all proprietary rights to any products, finalized or not, that result from the services rendered.

2. Third-Party Services

2.1 Hosting Services

  1. Hosting is provided through Afrihost. The Service Provider will not be held liable for:
    1. Server downtime, interruptions, or unavailability caused by technical issues, maintenance, or unforeseen circumstances related to Afrihost’s hosting services.
    2. Server accessibility issues experienced by the Client, regardless of the cause.
  2. The Service Provider will assist in liaising with Afrihost to resolve issues, but the Service Provider will not bear liability for any inconveniences caused by Afrihost.

2.2 Domain Name Services

2.2.1 Domain Name Acquisition

  1. If the Client pays the registration fee and purchases a domain name through the Service Provider, the domain name will remain the Client’s property.
  2. All associated costs, including renewal fees, transfer fees, and any other charges, will be the Client’s responsibility.

2.2.2 Domain Name Availability

  1. The Service Provider will not be held liable if a desired domain name is unavailable due to prior ownership or registration by another party.
  2. The Service Provider will assist in acquiring the domain name, but all costs related to purchase, negotiation, or legal fees will be borne by the Client.

3. Working Hours and After-Hours Rates

  1. The Service Provider’s working hours are:
    • Monday to Thursday: 08:00 to 16:30
    • Friday: 08:00 to 14:00
  2. Any work requested outside these hours will be charged at after-hour rates:
    • Remote Office Support: R750 per hour
    • Website Management: R100 per hour

4. Cancellation of the Contract

4.1 Client-Initiated Cancellation

  1. The Client may cancel the agreement at any time before services are rendered by providing written notice to the Service Provider.
  2. If cancellation occurs after the initial deposit is paid, the 50% deposit is non-refundable.

4.2 Service Provider-Initiated Cancellation

  1. The Service Provider reserves the right to cancel the agreement with written notice to the Client if:
    1. The Client fails to make timely payments.
    2. The Client’s actions or lack thereof hinder the Service Provider’s ability to deliver agreed-upon services.
  2. Payments already made will be retained by the Service Provider, and no further payments will be due beyond the cancellation date.

4.3 Termination Due to Breach

  1. Either party may terminate the agreement if the other party is in material breach and fails to remedy the breach within 30 days of receiving written notice.
  2. Upon termination due to breach, any amounts owed for services rendered up to the termination date will remain due, and the non-breaching party may seek legal remedies.

5. Liability

  1. The Service Provider is not liable for any issues, interruptions, or damages caused by third-party services, including hosting provided by Afrihost.
  2. The Service Provider will act in good faith to assist the Client in resolving third-party-related issues but will not assume responsibility for external factors beyond its control.
